1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the Borderless AS corporate virtual private network platform (“BVPN” or the “Service”). By accessing or using the Service, you agree to be bound by these Terms, which form a legally binding agreement between you (“User”) and Borderless AS (“Company”). If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
- Service: The corporate VPN platform provided by the Company, including all related software, applications, dashboards, and infrastructure.
- Organization: The legal entity or business that subscribes to the Service.
- Owner: The individual authorized to enter into this agreement on behalf of the Organization and responsible for billing and account oversight.
- Division Administrator: A User designated by the Owner to manage team members and configure infrastructure for division.
- Member: An individual user within the Organization who accesses the VPN under the Organization’s policies.
- Dedicated Server: A server exclusively allocated to an Organization for secure VPN access.
3. Eligibility
The Service is intended solely for use by legal business entities and organizations. By registering, you represent and warrant that you have the authority to bind your Organization to these Terms. Individuals under 18 or users without authorization from an Organization are prohibited from using the Service.
4. Account Registration & Security
You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. Multi-Factor Authentication (MFA) is strongly recommended and may be required for certain features. The Company is not liable for any loss or damage resulting from your failure to safeguard your account.
5. Subscription Plans
The Service offers Monthly and Annual subscription plans. Subscriptions automatically renew unless cancelled before the renewal date. Upgrades or downgrades may result in prorated charges. The Company may modify pricing with prior notice.
6. Payment
- Payment Methods: All subscription fees must be paid using approved payment methods (e.g., credit card, or other methods supported by the Company). Payments are processed by secure, PCI-compliant third-party providers.
- Billing Cycle: Fees are billed in advance on a recurring basis (monthly or annually, depending on the subscription plan).
- Taxes: All fees are exclusive of applicable taxes, duties, or levies. Organizations are responsible for paying any such charges.
- Late Payments: Failure to pay fees on time may result in suspension or termination of the Service, subject to the Grace Period outlined in Section 8.
- Member: An individual user within the Organization who accesses the VPN under the Organization’s policies.
- Currency: All payments must be made in the currency specified at the time of purchase.
7. Refund Policy
All purchases are final. We do not provide refunds for any products or services, including initial purchases, subscription renewals, or plan upgrades.
8. Grace Period
If a payment fails, a grace period of 7 days (Monthly plans) or 30 days (Annual plans) will apply. During this period, the Service remains active while the Organization resolves the payment issue. Failure to resolve payment within the grace period may result in suspension or termination of the Service.
9. Roles & Responsibilities
- Owners manage billing, subscription settings, assignments, and enforce security policies.
- Members use the VPN in accordance with the Organization’s policies.
- All Users must comply with these Terms and applicable laws.
10. Teams & Infrastructure
Organizations may configure Dedicated Servers according to their operational and compliance requirements. Administrators are responsible for ensuring that configurations comply with applicable laws and internal policies. The Company provides tools and documentation to assist with setup and monitoring.
11. Service Availability & Maintenance
The Company endeavors to maintain high service availability. Advance notice will be provided for scheduled maintenance. The Company cannot be held liable for service interruptions resulting from force majeure events, including natural disasters, government actions, or internet outages.
12. Intellectual Property
All content, software, trademarks, and technology used in the Service are the exclusive property of the Company or its licensors. Users may not copy, modify, distribute, reverse engineer, or create derivative works without prior written consent.
13. Acceptable Use
Users must not use the Service for illegal or harmful activities, including hacking, spamming, distributing malware, violating intellectual property rights, engaging in harassment, or attempting to bypass security controls. Violations may result in immediate suspension or termination.
14. Compliance & Export Control
Users agree to comply with all applicable laws, including export control and sanctions regulations. The Service may not be used in or by individuals or entities located in embargoed regions or otherwise prohibited by law.
15. Termination
The Company may suspend or terminate access to the Service for violations of these Terms. Users may cancel subscriptions at any time through the dashboard. Upon termination, access to the Service will cease, and data may be deleted in accordance with the Company’s retention policy.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.
17. Limitation of Liability
The Service is provided “as is” without warranties of any kind. The Company is not liable for indirect, incidental, or consequential damages. The Company’s total liability is limited to the amount paid by the Organization in the 12 months preceding the claim.
18. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in the jurisdiction of the Company’s incorporation. Each party waives the right to a jury trial or to participate in a class action.
19. Governing Law
These Terms are governed by the laws of the jurisdiction in which the Company is incorporated, without regard to conflict-of-law principles.
20. Entire Agreement & Severability
These Terms constitute the entire agreement between the parties regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
